Job Description

We are looking for a Commercial Contracts Counsel to join our legal team   to support the review, drafting, and negotiation of a broad range of commercial agreements . This role will   work closely with business partners across   sales, procurement, supply chain,   finance, IT,   and engineering teams to   facilitate   business transactions while helping   manag e   legal and business risk.

The successful candidate will serve as a   day to   day   advis or   on routine and moderately complex contracting matters and will collaborate with senior members of the legal team on more complex,   strategic   or non-standard transactions.

Responsibilities

  • Draft, review, and negotiate a wide range of commercial agreements, including master supply agreements, sales contracts, purchase orders, statements of work, vendor/supplier agreements, equipment procurement contracts, software licenses, NDAs, and services agreements
  • Partner with   sales, procurement, and business teams   to   provide   guidance   on contract terms, risk allocation, and negotiation strategy
  • Support the maintenance and continuous improvement of   the company's contract templates, playbooks, standard terms , and contract management system (e.g., Ironclad)   to drive consistency and efficiency
  • E scalate complex ,   high-risk   or non-standard contract issues to senior legal leadership
  • Monitor legal and regulatory developments affecting commercial contracting in the semiconductor industry, including export controls, trade compliance, and IP licensing considerations
  • Partner with finance, compliance, and other internal stakeholders as needed on contract-related matters

Qualifications

Required

  • J.D. from an ABA-accredited law school
  • Active membership in good standing with at least one U.S. state bar
  • 3 - 5 years of relevant legal experience in commercial transactions, contract drafting/negotiation, or technology transactions
  • Strong   contract   drafting skills and attention to detail, with the ability to manage a high volume of contracts simultaneously
  • Excellent judgment in balancing legal risk with business objectives
  • Ability to work independently, prioritize effectively, and communicate clearly with non-legal stakeholders

Preferred

  • 1-2 years of experience at a large law firm (Am Law   50   or equivalent) with a transactional or technology transactions practice
  • Experience in the semiconductor, electronics, or advanced technology manufacturing industry
  • Familiarity with semiconductor-specific contract structures, including IP licensing, equipment and materials supply   and purchase   agreements
  • Familiarity with Ironclad

Pay Range

$155,800.00 - $204,435.00

Pay Range Explained

This role in Livermore, California pays between $155,800.00 and $204,435.00 per year, depending on your experience, skills, and background. Pay may vary in other locations. We offer a full benefits package, including medical, dental, vision, life insurance, disability coverage, a 401(k) with company match, employee stock purchase plan (ESPP), and paid time off. You’ll also be eligible for quarterly profit-sharing bonuses and flexible spending or savings accounts.
